违反保密义务仍然可以主张减轻赔偿责任

        Notwithstanding violation of the confidentiality agreement, still having the right to be relieved the liability of compensation

基本案情:

 原被告于2021年9月11日签订了一份劳动合同和一份保密协议,被告的岗位为安卓软件开发工程师。根据保密协议的约定,如果被告违反保密协议,需要向原告支付一年的工资总额。2022年6月被告提交离职报告,因为原告没有其他安卓工程师接替,要求被告再等一段时间离职。2022年7月20日,原告同意被告离职,由于原告的代码管理器损坏,要求被告将8个文件代码上传到某网站上,但没有告诉被告具体的上传路径和要求。被告上传时为了让原告能够下载,选择了公开按钮。因而被告将文件上传到了公有云而不是企业的私有云中。其后,网络安全保护支队监测到该软件相关的源代码有泄露的风险,通知使用单位进行整改。使用单位将该情况通报给原告,责令原告查明原因并采取相关措施。原告于是起诉被告,要求被告将共有云中的软件删除,并赔偿一年的工资收入。


Basic case:

The plaintiff (hereinafter referred as to P) and the defendant (hereinafter referred as to D) had negotiated a labor agreement and a confidential agreement on September 11th 2021, D was hired as an android engineer to exploit software. In according with the confidential agreement, D will indemnity P the sum of the last one year salary if he violated the confidential agreement. In June 2022 D submitted an resignation letter to P, but because of no alternative android engineer P required D to wait for a while. Till July 20 P ratified the resignation. The service machine about software code management owned by P was broken, so the general technician asked D to send his 8 code files to gt website for finishing alteration procedure.

but he didn’t carefully illustrate how and where to upload so that D uploaded the files in public cloud rather than P’s enterprise private cloud. The detachment of protection of internet security found it and indicated jail that its original code of face identification panel machine was disclosed in other website and required the jail to rectify and reform it immediately. The jail notified the information of disclosure to P and claimed P should be liable for it. Then P litigated D in basic people’s court for requiring D to assume the responsibility of violation of confidential agreement.


不利因素:

        1.保密协议约定了如果被告泄露了保密信息,被告需要承担赔偿义务。

        2.保密信息包括但不限于软件、图文等。

        3.被告需要赔付1年的工资总额如果其泄露了保密信息。

Unfavorable factors:

1. The confidential agreement stipulates D is required to assume damage liability if D disclosed confidential information.

2. The confidential information includes but not limited to the code of software, paragraph et. in the confidential agreement.

3. D should pay the sum of salaries of one year if he disclosed above confidential information.


抗辩思路:

        1.原告无法证明被告披露的信息是保密信息,因为没有证据证明原告对上述信息采取了保密措施,由此上述信息不符合保密信息的特征。

        2.被告将案涉文件上传到外网是按照原告的通知上传的,不存在泄露的行为。

       3.原告主张的赔偿金额远远高于最高院的司法解释。

Coping strategies:

1. P didn’t prove the information disclosed by D was confidential because P had no proof of taking confidential measures to protect these informations.

2. D uploaded theses informations pursuit to the order of P which shouldn’t be regarded as disclosure.

3. The damage claimed by P was far more excessive than the standard stipulated in relevant judicial interpretation by the Supreme people’s Court.


判决结果:

        法院判决被告支付很少一部分比例的工资给原告。

Judgement or consequence:

The judge convicted D of paying a little compensation to P.
