1.1. Confidentiality of Materials. Each party acknowledges that in the course of performing under this Agreement, or in the course of discussing or negotiating Statement of Work(s) and/or any Exhibits or future agreements between the parties, a party may learn confidential, trade secret, or proprietary information concerning the other party or third parties to whom the other party has obligations of confidentiality (“Confidential Information”). The party receiving Confidential Information will be referred to as the “Receiving Party,” and the party disclosing its Confidential Information will be referred to as the “Disclosing Party.
1.1. 材料的机密性。 双方承认,在履行此项协议的过程中，或者在讨论或协商作品或/和展品声明或未来协议的过程中，一方可能获知涉及另一方或者第三方的机密﹑商业秘密﹑或者专有信息。该方有义务予以保密(“机密信息”)。获得机密信息的一方被认为是“接受方”，而透露机密信息的一方被认为是“透露方”。
(a) “Confidential Information” means any and all information disclosed to the Receiving Party by the Disclosing Party, PVTC or their Agents either orally or in writing: (a) of a technical or conceptual nature consisting of or relating to the databases, software, software documentation, computer based test delivery system, systems, products, services or component parts owned, developed or being developed by the Disclosing Party, including, without limitation, the information ascertained from plans, drawings, schematics, sketches, models or descriptions of processes, or from an inspection of facilities, or from computer programs, databases, software, computer hardware components, or other components of a similar nature; (b) relating to business plans, marketing plans or business opportunities of the Disclosing Party; (c) relating to the Disclosing Party’s finances, business, or methods or proposed methods of doing business; or (d) other information that should reasonably have been understood by the Receiving Party, because of legends or other markings, the circumstances of disclosure, or the nature of the information itself, to be confidential to the Disclosing Party. Confidential Information shall expressly include any and all information derived from a party’s proprietary information and the terms and conditions of this Agreement. This company’s Confidential Information shall include any software provided herein. Each party acknowledges that it acquires only the right to use the Confidential Information of the other party under the terms and conditions of this Agreement for as long as this Agreement Is in effect and that neither party shall acquire any rights of ownership or title in the other party’s Confidential Information.
(a) “机密信息”指的是透露方﹑PVTC或者他们的代理以口头或者书面形式透漏给接受方的以下任何信息：(a)组成或者同以下内容相关的技术或概念性的信息：数据库﹑软件﹑软件文档﹑电脑测试传输系统﹑系统﹑产品﹑服务或者由透露方拥有、开发或者正在开发的零件，包括但不仅限于从计划﹑制图﹑图表﹑草图﹑模型或程序说明中获得的信息，从设备的检查中，及从电脑程序﹑数据库﹑软件﹑电脑硬件组件或者其他类似零件中获得的信息;(b)有关透露方的商业计划﹑营销计划或商机的信息;(c) 有关透露方的财务﹑业务、或业务操作方法和方法提议的信息;或者(d) 由于图例和其他标记﹑透露条件或者信息本身的性质，接受方理应为透露方保密的其他信息。机密信息明确地包括一方专有信息中的任何信息和本协议中的条款和条件。本公司的机密信息包括本协议中规定的所有软件。各方承认，协议有效期间，协议一方只能根据本协议规定的条件使用机密信息，任何一方不得获得另一方机密信息的拥有权。
